These Terms and Conditions govern your access to and use of Keiyora, including the website, dashboard, software, AI reply features, integrations, messaging tools, booking tools, analytics, billing features, and related services.

1. Acceptance of Terms

By creating an account, connecting a channel, using the dashboard, subscribing to a paid plan, or otherwise accessing Keiyora, you agree to these Terms and Conditions. If you do not agree to these Terms, you must not use the service.

2. About Keiyora

Keiyora is an AI-assisted business messaging and lead management platform. It helps business owners receive, organise, and respond to customer enquiries from connected channels such as Instagram, WhatsApp, Messenger, Gmail, Outlook, and email.

Keiyora may generate automated or assisted responses using artificial intelligence. You remain responsible for reviewing your business information, settings, prompts, connected channels, and any messages sent through your account.

3. Eligibility

You must be at least 18 years old and able to enter into legally binding agreements to use Keiyora. If you use Keiyora on behalf of a business, you confirm that you have authority to bind that business to these Terms.

4. Account Registration

You may need to create an account to use Keiyora. You agree to provide accurate account information and keep it up to date. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorised access to your account.

5. Business Information and Customer Data

You are responsible for the accuracy of the business information you enter into Keiyora, including business name, opening hours, services, pricing, booking links, staff availability, FAQs, and AI instructions. Keiyora may use this information to generate replies to customer enquiries. If your information is incomplete, outdated, or inaccurate, AI-generated replies may also be incomplete or inaccurate.

6. Connected Channels

Keiyora may allow you to connect third-party communication channels.

  • Instagram Business messaging.
  • WhatsApp Business messaging.
  • Facebook Messenger.
  • Gmail.
  • Outlook or Microsoft 365.
  • Email providers.
  • Calendly.

You are responsible for ensuring that you have the right to connect each account, page, phone number, mailbox, booking account, or business profile. You must comply with all applicable third-party terms, including Meta Platform Terms, WhatsApp Business Terms, Google API policies, Microsoft terms, SendGrid terms, Calendly terms, Stripe terms, and any other provider terms that apply.

7. Meta, WhatsApp, Instagram, and Messenger Use

If you connect Meta-owned services, you agree that:

  • You will only use Keiyora for legitimate business communication.
  • You will not use Keiyora to spam users.
  • You will not use Keiyora to scrape or collect data outside the approved purpose.
  • You will not use Keiyora to impersonate another person or business.
  • You will not use Keiyora to bypass or attempt to bypass Meta enforcement actions.
  • You will not create, maintain, or connect apps or accounts for the purpose of evading platform restrictions.
  • You will comply with Meta Platform Terms, Developer Policies, Messaging Policies, WhatsApp Business Policies, and any applicable app review requirements.

We may suspend or restrict your access if we believe your use may breach Meta requirements or put our app, business, or users at risk.

8. AI Replies and Automation

Keiyora may generate replies using AI based on your business settings, prompts, service information, FAQs, connected channels, customer messages, and other configuration.

  • AI-generated content may be incorrect, incomplete, or inappropriate.
  • You are responsible for reviewing and configuring your AI assistant.
  • You must not rely on AI replies as professional advice.
  • You must not configure the AI to provide medical, legal, financial, emergency, or regulated advice unless you are legally authorised and the use is compliant.
  • You must monitor replies and disable automation if it is not working correctly.
  • You are responsible for messages sent through channels connected to your business account.

Keiyora includes safety instructions intended to reduce misuse, but no AI system is perfect.

9. Prohibited Use

  • Violate any law, regulation, or third-party platform policy.
  • Send spam, unsolicited bulk messages, or deceptive messages.
  • Harass, threaten, abuse, or discriminate against any person.
  • Collect, scrape, sell, or misuse personal data.
  • Impersonate any person, business, or brand.
  • Circumvent enforcement actions imposed by Meta or any other platform.
  • Connect accounts, pages, numbers, or mailboxes you do not own or have authority to use.
  • Send unlawful marketing messages.
  • Upload malicious code, malware, or harmful content.
  • Attempt to reverse engineer, disrupt, overload, or compromise Keiyora.
  • Use Keiyora for high-risk decisions or emergency communications.
  • Use Keiyora to provide regulated professional advice without appropriate safeguards and authorisation.

11. Plans, Pricing, and Payment

Keiyora may offer free and paid plans. Current plan details may include Starter, Solo Pro, Team, Agency, reply top-ups, and optional overage controls.

Prices may be shown in AUD unless otherwise stated. Prices may change depending on plan, billing interval, promotional tier, taxes, discounts, usage, and Stripe configuration.

Paid subscriptions are processed through Stripe. By subscribing, you authorise Stripe and us to charge applicable subscription fees, usage fees, top-ups, taxes, and other charges.

12. Trials

Some paid plans may include a free trial. Trial length and conditions may be shown at checkout. At the end of a trial, your subscription may continue as a paid subscription unless cancelled before the trial ends, depending on the checkout terms shown by Stripe.

13. Reply Limits, Overage, and Top-Ups

Plans may include a monthly AI reply allowance. A reply is generally counted when the AI sends or prepares a response to an inbound customer message.

  • Free or Starter accounts may pause until the next reset or upgrade.
  • Paid accounts may pause, use top-ups, or use overage if enabled.
  • Overage may be charged per additional reply according to the active plan.

You are responsible for monitoring usage and configuring any caps or top-ups.

14. Cancellations and Downgrades

You may cancel a paid subscription through the billing portal where available or by contacting support. If your subscription ends, your account may be downgraded to a free or Starter plan. Some features may become unavailable, reply limits may be reduced, and automation may pause. Fees already paid are generally non-refundable unless required by law or expressly stated otherwise.

15. Refunds

Refunds are handled at our discretion unless required by applicable law. We may refuse a refund where services have been used, where usage limits have been consumed, or where the request is inconsistent with these Terms.

16. Third-Party Services

Keiyora depends on third-party services including Firebase, OpenAI, Meta, WhatsApp, Instagram, Facebook, Google, Microsoft, SendGrid, Calendly, and Stripe. We are not responsible for outages, restrictions, policy decisions, API changes, account suspensions, pricing changes, or service interruptions caused by third-party providers. Some features may stop working if a third-party provider changes its API, rejects an app review, restricts an account, revokes permissions, or experiences downtime.

17. Data and Privacy

Our handling of personal information is described in our Privacy Policy. By using Keiyora, you agree that we may process business data, customer messages, leads, metadata, connected account information, and related information as needed to provide the service. You are responsible for ensuring that your use of Keiyora complies with privacy laws that apply to your business.

18. Confidentiality

You may access confidential or sensitive business and customer information through Keiyora. You agree to protect this information and not disclose it except as necessary for lawful business purposes.

19. Intellectual Property

We own Keiyora, including the software, design, code, branding, dashboard, workflows, documentation, and related intellectual property. You retain ownership of your business data, customer data, prompts, uploaded materials, and branding materials, subject to the licence needed for us to operate the service. You grant us a limited licence to host, process, display, transmit, and use your data only as needed to provide, secure, support, and improve Keiyora.

20. Service Availability

We aim to keep Keiyora available, but we do not guarantee uninterrupted or error-free operation unless a separate written service level agreement applies. We may perform maintenance, updates, security changes, or emergency fixes that temporarily affect availability.

21. Suspension and Termination

We may suspend or terminate access if you breach these Terms, fail to pay fees, create legal, security, platform, or operational risk, if a third-party platform restricts access, or if we believe your use may violate Meta, Google, Microsoft, Stripe, or other provider policies. You may stop using Keiyora at any time.

22. Disclaimers

Keiyora is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not guarantee that:

  • AI replies will always be accurate.
  • Every message will be received or sent.
  • Third-party integrations will always remain available.
  • The service will meet every business requirement.
  • Use of the service will guarantee leads, bookings, revenue, or customer conversions.

23. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages. Our total liability for any claim related to Keiyora is limited to the amount you paid us for the service in the three months before the event giving rise to the claim, unless applicable law requires otherwise.

24. Indemnity

You agree to indemnify us against claims, losses, damages, liabilities, costs, and expenses arising from your use of Keiyora, your connected channels, your customer communications, your breach of these Terms, your breach of third-party platform terms, your violation of law, or your business information, prompts, or content.

25. Changes to the Service or Terms

We may update Keiyora and these Terms from time to time. If changes are material, we will take reasonable steps to notify users. Continued use after changes means you accept the updated Terms.

26. Governing Law

These Terms are governed by the laws of Western Australia, Australia. The parties submit to the courts of Western Australia, Australia, unless applicable consumer law provides otherwise.
